MEMORANDUM OF UNDERSTANDING
BETWEEN
THE EMBASSY OF UNITED STATES OF AMERICA IN URUGUAY
AND
THE INTER-AMERICAN CHILDREN'S INSTITUTE

The Embassy of United States of America in Uruguay (hereinafter known as the "US Embassy") represented by its Ambassador, Martin J. Silverstein and the Inter-American Children's Institute, (hereinafter known as the "IIN"), represented by its Director General, Alejandro Bonasso Lenguas, agree to sign this Memorandum of Understanding subject to the following Considerations and Clauses:  

CONSIDERING:  

1. That the IIN and the US Embassy signed a General Cooperation Agreement on January 13th, 2004 with the following objectives:  

a.   To implement and coordinate a project proposal entitled: Combating Sexual Exploitation, Child Pornography and Trafficking of Children. First Stage: MERCOSUR  

b.   To establish the legal framework for operational and administrative procedures, following the OAS and US Government rules.  

2. That the Forms of Cooperation stated in the above mentioned Cooperation Agreement were not accomplished in the way originally agreed, because of administrative procedures that did not allow  IIN to administrate the funds for the technical and operational coordination of project activities.

AGREE TO THE FOLLOWING:

a. The US Embassy will administrate the funds stated in the Cooperation Agreement in order to cover the IIN project activities

b. The IIN will supervise the implementation of the following planned investigations in each participating country (MERCOSUR): Trafficking of Children with Sexual Exploitation Purposes and the Legal Framework.

The IIN will obtain the following results:

b.1. Prepare a working document summarizing the main results of the research portion of the project.  
b.2. Prepare and host a Regional Conference on Combating Sexual Exploitation, Child Pornography and
      Trafficking of Children for policy makers, decision makers and Congressmen.  
b.3. Prepare and disseminate documents resulting from the Regional Conference.  

c. The IIN will choose the consultants necessary for the development of the activities involved in b. and  will define the terms of reference of their contracts.

d. The IIN reserves the option of discontinuing its participation. 

The representatives of both parties, duly authorized, sign the present Memorandum of Understanding  in two equally valid originals, in the city of Montevideo, Uruguay, on the 3rd.  day of May 2004.
