OPERATIVE AGREEMENT BETWEEN THE COLOMBIAN INSTITUTE FOR FAMILY WELFARE AND THE INTER-AMERICAN CHILDREN’S INSTITUTE

WHEREAS: 

The Colombian Institute for Family Welfare and the Inter-American Children’s Institute signed a Cooperation Agreement on May 9, 2001.  

The Inter-American Children’s Institute, within its Inter-American Child and Family Information Program, has produced videos promoting the Convention on the Rights of the Child. 

At its 77th Meeting, the Directing Council of the Inter-American Children’s Institute passed resolution CD/RES.14 (77-R/02) using the countries of the region to cooperate in the production of new videos. At its 78th Meeting, as part of its expression of thanks to the governments of Spain, Mexico and the Dominican Republic for having supported the production of promotional videos on Children’s Rights, the Directing Council passed resolution CD/RES.06 (78-R/03) once more urging the countries of the region to participate in this project.  

The Inter-American Children’s Institute is producing a series of videos intended to address and publicize the substantive aspects of children’s rights enshrined in the Convention, within the framework of the Directing Council resolutions. 

THEREFORE: 

The Colombian Institute for Family Welfare (hereinafter known as the ICBF) and the Inter-American Children’s Institute (hereinafter known as the IIN) hereby agree to develop two films, each approximately one minute in duration.  

CLAUSE ONE

Terms of the Agreement
 

Article 1.          The IIN, upon mutual agreement with the ICBF, shall select the Articles of the Convention on the Rights of the Child on which to base the films. 

Article 2.          The IIN shall produce the films in the Spanish language, with versions containing English-language subtitles. 

Article 3.         In the films, great esthetic and thematic care shall be given to the following: gender, ethnic diversity and multiculturality. 

Article 4.          The IIN shall be responsible for the lyrics, music and animation of the films, in line with those used in the videos that it has already produced. 

Article 5.         The lyrics shall be sung by Colombian singers. The ICBF shall be responsible for finding the performers and reaching an agreement with them in this regard. The performers must be first-rate artists with public acceptance, in order to ensure success in the other countries of the region. The performers shall use the lyrics and music provided by the IIN. 

Article 6.          The IIN agrees to produce these films before August 30, 2004. 

Article 7.          The IIN shall deliver the films in the following formats: 35-mm, Betacam NTSC and VHS NTSC. 

Article 8.          The copyright on the films shall belong jointly to the IIN and the ICBF, and the last frame of the film must show the logos of both institutions, as well as possibly that of the producer, depending on agreements reached by the IIN. 

Article 9.          The films shall be distributed by the IIN to all of the institutions responsible for child affairs in the member states of the Inter-American System; these institutions may in turn include their own logos in addition to those specified in Article 8. 

Article 10.        The ICBF shall provide the IIN with the sum of $120,000,000 (one hundred and twenty million Colombian pesos), to be deposited into the specific funds account in accordance with the procedures of the Organization of American States. 

CLAUSE TWO
Final Provisions
 

The present Agreement shall enter into force upon its signature by the parties and shall remain valid until the production of the films is complete. 

The present Agreement is hereby signed by Dr. Ana María Peñuela, Acting Director General of the ICBF and Lic. Alejandro Bonasso, Director General of the IIN (on an ad-referendum basis, pending approval by the IIN Directing Council) in the city of Bogota on the December 31st of the year 2003.

ADDENDUM TO AGREEMENT No. 258/03 BETWEEN THE COLOMBIAN INSTITUTE FOR FAMILY
WELFARE AND
THE INTER-AMERICAN CHILDREN’S INSTITUTE 

We, the undersigned parties, BEATRIZ LONDOÑO SOTO, of age, resident of this city, holder of Citizen Identification Card No. 42.870.767 of Envigado, acting, in her capacity as DIRECTOR GENERAL, in the name and representation of the COLOMBIAN INSTITUTE FOR FAMILY WELFARE (hereinafter known as the ICBF), and ALEJANDRO BONASSO LENGUAS, in his capacity as Director General of the INTER-AMERICAN CHILDREN’S INSTITUTE,   (hereinafter known as the IIN), have agreed the sign the present ADDENDUM to AGREEMENT No. 258/03 signed by the parties under the following CONSIDERATIONS: 1) In order to make available to the IIN the resources necessary for the production of the films which are the object of the agreement, Article 10 of Clause One must be modified. 2) Consequently, the Supervisor of the contract for the ICBF has stated his agreement regarding the pertinence of the Addendum, which shall be governed by the following CLAUSES : ONE: Article 10 of Clause One is changed to the following: Article 10. The ICBF shall provide the IIN with the sum of $120,000,000 (one hundred and twenty million Colombian pesos), which shall be deposited into the specific funds account in accordance with the procedures of the Organization of American States. This disbursement shall be made when instructed for this purpose by the IIN and the Organization of American States.  TWO: EXECUTION: The execution of the present Addendum requires the signatures of both parties, who freely state that they have carefully read the entire contents of same and agree to all of the mandates and statements contained therein. THREE: The other terms of the agreement remain in force. In witness whereof, the parties sign the present document in Bogota, D.C., on June 11th, 2004

ADDENDUM TO AGREEMENT Nº 258/03, SIGNED BETWEEN THE COLOMBIAN INSTITUTE FOR FAMILY WELFARE AND THE INTER-AMERICAN CHILDREN’S INSTITUTE 

Between the undersigned, namely: BEATRIZ LONDOÑO SOTO, of legal age, resident of Bogotá, D.C., identified by citizenship certificate Nº 42870767 issued in Envigado (Antioquía), acting on behalf of and representing the COLOMBIAN INSTITUTE FOR FAMILY WELFARE in her capacity as Director General, appointed by Decree Nº 1851 from August 13th 2002 according to Deed of Appointment Nº 044 from August 13 2002, hereinafter known as THE ICBF, and ALEJANDRO BONASSO LENGUAS, acting in his capacity as Director General “ad-referendum” to the Directing Council of the INTER-AMERICAN CHILDREN’S INSTITUTE, hereinafter known as THE IIN, it has been agreed that this ADDENDUM to AGREEMENT Nº 258/03 be signed on account of the requirement to modify the form of payment made by the Chief of the Office of Communications and Assistance to the Citizen, which shall be governed by the following CLAUSES: FIRST: Article 10 of the first clause of agreement Nº 258/03 is hereby modified, and shall read as follows: Article 10. THE ICBF shall provide THE IIN with the sum of ONE HUNDRED AND TWENTY MILLION COLOMBIAN PESOS ($ 120,000,000), which shall be handed over as follows: 10.1 Fifty percent (50%) upon legalization of this addendum. 10.2 The remaining fifty percent (50%) upon termination of the aforementioned agreement and after the certification of satisfactory receipt by THE ICBF has been issued. SECOND: EXPENSES: Expenses originated in the fulfillment of requisites for the legal validity and legalization of this Addendum shall be borne by THE CONTRACTOR. Within five (5) days after this Addendum having been signed the aforementioned contractor must submit the receipts stating the fulfillment of such liabilities to the Legal Office. THIRD: FULFILLMENT OF LEGAL REQUISITES AND VALIDITY: The validity of this Addendum requires that it be signed by the parties involved. The other terms forming part of the initial agreement remain valid. FOURTH: DECLARATION: The parties freely declare that they have read this document thoroughly and carefully, thus undertaking to comply with all its orders and declarations. For record purposes, these presents are signed in Bogotá D.C. on September 20th, 2004
