AGREEMENT
BETWEEN
THE INTER-AMERICAN COMISSION OF WOMEN AND
¨THE
INTER-AMERICAN CHILDREN’S INSTITUTE
FOR THE CREATION OF A CHILD, WOMEN AND FAMILY
INFORMATION SUBCENTER
The
Parties, the Inter-American Commission of Women (“CIM”) and the Inter-American
Children’s Institute (“IIN”), both specialized organizations of the
Organization of American States (“OAS”) under Chapter XVIII of the OAS
Charter,
WHEREAS:
IIN’s
objective is to promote awareness of the issues affecting children in the
Americas, through cooperation with the countries of the Americas for the
purpose of improving the conditions of children, youth and the family as
regards health, education, and social, legal and cultural aspects in
general;
CIM
was established in 1928 at the Sixth International Conference of American
States (Havana, Cuba), and was the first official intergovernmental agency
in the world created expressly to ensure recognition of the civil and
political rights of women.
Since
1988, the IIN has promoted the Inter-American Child Information Network
(“RIIN”), which includes three databases (documents, organizations and
projects);
The
OAS Charter and the OAS General Assembly encourage cooperation between
specialized organizations of the Organization with similar interests and
mandates for that assuring the more efficient use of limited OAS resources;
WHEREFORE:
The
Parties agree to the following terms and conditions:
CHAPTER
I
ARTICLE I
Creation
of the Subcenter and its Purposes
1.1 The
Child and Family Information Subcenter (“the Subcenter”) is hereby
established, as a sub-Subcenter in the RIIN network.
1.2
The Purposes of the Subcenter are as follows:
a.
To gather, select and systematize all information and documentation
produced by CIM on women and family, as regards legal, social and
educational issues as well as issues of drug abuse prevention and health,
as they relate to children’s and women rights;
b.
To gather, select and systematize all reference information on
organizations, projects and events connected with the issues defined in
section a. above;
c.
To distribute all information on children, women and the family
that is generated by the CIM, as well as information gathered by the IIN
in the rest of the Americas and documentation from outside the Inter-American
System that directly or indirectly contributes to improving the quality of
life of children, women and families;
d.
To send periodically, to the IIN’s Information and Coordination
Center (“CIC”), the information and documentation gathered by the
Subcenter, so that common databases may be updated and made available to
all users in the region.
e.
To provide, to RIIN users in the OAS Member States copies of the
original documentation, based on the mechanisms agreed upon with the IIN.
ARTICLE
II
Responsibilities
of IIN
2.1
IIN shall provide the CIM with its specially programmed “OPD
System” as well as its related documentation, under the terms of a
"User License" satisfactory to CIM.
2.2
IIN shall provide to CIM personnel training, orientation and
technical support for the purpose of assuring proper operation of the
Subcenter.
ARTICLE
III
Responsibilities of CIM
3.1
CIM shall provide all the other necessary infrastructure for the
operation of the Subcenter.
3.2
CIM shall be responsible for providing personnel for the proper
operation of the Subcenter consistent with its capacity as the licensee of
the computer programs and the owner/or licensee of information on children,
women and the family contained in the OPD System (“the System”).
3.3.
CIM shall bear all the costs included in the quote for installation,
training and maintenance of the Subcenter, and shall attempt to assure
that the Subcenter will have the resources and capacity to continue its
operation beyond the first 24 months.
3.4.
CIM may create User Centers and sign user agreements with other
institutions for that purpose, provided however, that all such user
agreements shall conform to the conditions of this Agreement and CIM will
maintain responsibility for the support and maintenance of the computer
programs at CIM’s expense, unless IIN and the parties to the user
agreements otherwise agree.
3.5
CIM shall notify the IIN of activities involving the Subcenter, as
well as the creation of new nodes of the CIC and User Centers.
3.6
CIM shall be responsible for all information that it enters into
the system; however, it shall not be responsible for the rest of the
information entering the system from other National Centers, nodes or the
CIC itself. CIM will be
responsibility that all users are notified of the appropriate disclaimers
in this regard so as to eliminate any liability of the Parties to third
parties for erroneous data or defects in the System.
3.7
CIM shall use an Internet connection for the purposes of
electronic mail, electronic conferences and access to databases,
permitting a smooth exchange of information with other Centers in the
Inter-American Child and Family Information Program (PIINFA) and providing
User Centers with access to online query services.
ARTICLE
IV
General Terms and Conditions
4.1
The present Agreement shall take effect upon its signature by the
parties and shall remain in force for
a term of 24 months, subject to ad referendum approval by the IIN
Directing Council.
4.2
The Parties may renew this Agreement, following evaluation by the
IIN. The first renewal shall be agreed specifically in a written
instrument signed by the duly authorized representatives of the Parties,
and subsequent renewals shall be automatic, for periods of 24 months each
unless either party notifies the other in writing of its decision not to
renew within thirty days prior to the entry into force of the next renewal
period.
4.3
Either Party may terminate this Agreement with 90 days’ notice to
the other. Upon termination, the Subcenter shall discontinue its use of
the programs and databases, and return them to the IIN.
4.4
The Parties may modify this Agreement by a written instrument
signed by their duly appointed representatives in duplicate originals,
dated, and attached hereto.
4.5 The person
authorized to represent CIM under this Agreement and to send or receive
all communications required hereunder is the Executive Secretary of CIM.
The Person authorized to represent IIN under this Agreement and to
send or receive all communications required hereunder is the Director
General of IIN. All
communications and notices required under this Agreement must be in
writing, signed by, and delivered to, the corresponding representative
under this Provision. Such
communications may be sent and delivered by electronic means.
