AGREEMENT 

In Santiago on September 26, 2003, the parties: the Inter-American Children's Institute, hereinafter known as the IIN, represented by its Director General, Lic. Alejandro Bonasso Lenguas, both domiciled at Avda. 8 de Octubre No. 2904, Montevideo, Uruguay; and the Servicio Nacional de Menores, hereinafter known as the SENAME, represented by its National Director, Ms. Delia Del Gatto Reyes, holder of national ID Card No. 6.374-978-8, both domiciled at Huérfanos No. 597, 5^th Floor, Santiago Metropolitan Region; appear and sign the following General Cooperation Agreement:  

ONE: The present agreement establishes the general terms for the fulfillment of the following objectives: 

1. Ensuring exchange and cooperation between the IIN and the SENAME regarding the development of policies and activities for children, adolescents and the family in Chile.

2. Establishing the legal basis for future agreements between the two organizations to implement specific projects and activities, which will be the result of common interests and a request for cooperation by one of the parties.  

TWO: In order to meet the aforementioned objectives, the parties agree to follow the guidelines laid out below: 

1. Specific projects shall be carried out through operative agreements that will specify the technical, financial, human resources and other contributions, the basis for the specific projects, and all of the elements ensuring the proper functioning of the agreed activity.  

2. Whenever necessary, the parties shall create working groups to study the nature, depth and extensiveness of the programs and activities to be implemented within the scope of the present agreement and appropriate projects. 

THREE: The field of work for the exchange and cooperation shall be channeled through the IIN and the SENAME. Its framework shall be the IIN’s Strategic Plan, without prejudice to any other areas of cooperation that may be defined by mutual agreement between the SENAME and the IIN. 

FOUR: The present agreement shall have a duration of five years, starting on the date on which the SENAME resolution for its approval is passed. The present agreement shall be automatically renewed for successive equal periods of one year if neither of the parties provides written notification of its intention to terminate the agreement. This notification must be provided sixty days in advance of the date of expiration of the respective period that the agreement is in force. 

However, either of the parties may, at any time, unilaterally rescind the present contract before its expiration, providing the other party with written notice at least one hundred and twenty days before the date on which said rescission is to take effect. This rescission shall in no way affect the agreements in execution governed by specific clauses. 

The present agreement may be modified at any time at the request of one of the parties, which must be provided to the other party in writing. 

FIVE: All disputes regarding the interpretation, application and/or execution of the present agreement shall be resolved directly between the IIN and the SENAME. Should the parties be unable to resolve the differences, then the matter shall be brought before the competent courts. 

SIX: The present agreement is signed in three equally valid copies, with the same contents and date. Two of these shall remain in the possession of the SENAME, and one in the possession of the IIN. 

SEVEN: Ms. Delia Del Gatto Reyes has the legal capacity to represent the SENAME, pursuant to Supreme Decree No. 293 of the Chilean Ministry of Justice (2000).  

This agreement is signed by the Director General of the IIN on an ad-referendum basis, pending the approval of the IIN Directing Council.
