AGREEMENT OF COOPERATION

This Agreement of Cooperation is signed between SAVE THE CHILDREN SWEEDEN, a non profit organization registration No. 6607, Electronic Entry No. 01839225 Registry of Juridical Persons of the Registration Office of Lima and Callao, 120 Calle Santa Maria, San Isidro. Lima represented by Mr. Per Tamm, identification card No 103/01 with powers registered in the institution's registry and the other party the Inter American Children's Institute, henceforth referred to as the IIN, a specialized organization of the OAS, residing in 2904 Av. 8 de Octubre, Montevideo, represented by it Director General, Lic. Alejandro Bonasso, identification No 807357-8. The following terms and conditions apply:

FIRST:

1.1 SAVE THE CHILDREN SUECIA is an organization of Technical Cooperation working on activities for the promotion and defense of children.

1.2 The IIN is an specialized organization of the OAS created to promote programs of cooperation among the countries of the American Continent with the goal of improving the living conditions of children, youth and family in health, education, social, cultural and juridical aspects.

SECOND:

2.1 The contracting parties have agreed on an accord which seeks to:

Exchange and cooperate in development of policies and actions in defense and promotion of the rights of children.
Develop instruments of data collection and analysis that would allow governments and civil society organizations to improve their reports, as per article 44 of the Convention on the Rights of the Child. The project will be carried out between the months of May and November 2002

2.2     SAVE THE CHILDREN SWEEDEN has decided to provide financial support to the IIN
           on the terms and conditions stipulated in the present agreement in order to facilitate
           the activities described in the annexed project.

THIRD:

3.1 SAVE THE CHILDREN SWEEDEN will provide the funds in two equal installments to
be delivered after receiving a written request by the IIN.

FORTH:

4.1 The IIN, accepting the conditions for the donation, commits itself to use the funds
exclusively for the project according to what has been established in this agreement and
in the annexed project.

4.2 Should the IIN not fulfill its obligation, this agreement shall be considered null and void.
Causes for annulment are:

Non compliance with what has been established in clause 4.1.
Non compliance with the obligations taken up by the donor in virtue of this document and their annexes.

In both cases the present agreement will be considered null and void and SAVE THE CHILDREN SWEEDEN reserves the right to withhold the funds, in total or in the part corresponding to the unfulfilled portion of the agreement. The present clause will enter into effect by written communication, where the terms for the return of the funds will be established as well as the penalties and interest to be paid by the IIN in case of non compliance.

FIFTH:

The present agreement can only be modified by written agreement between SAVE THE CHILDREN SWEEDEN and the IIN

SIXTH:

6.1 SAVE THE CHILDREN SWEEDEN will follow the development of the financed activities and
may request updates to evaluate the progress of the project. SAVE THE CHILDREN
SWEEDEN may also audit and/or demand an account on the project.

6.2 The IIN commits itself to make available all the required information and/or documents related to the activities and, in general, attend to any other necessity arising from visits, evaluation and audits. It also pledges to adopt the corrective measures arising from the supervision and/or auditing.

6.3 The IIN commits itself to present a global economic report within 30 days of the conclusion
of the project.

The IIN pledges to promptly notify SAVE THE CHILDREN SWEEDEN of any circumstances or facts affecting the execution of the programmed activities of this agreement or the use of the donated funds.
